Tata acquires 51% stake in Commotion

Commotion’s AI-powered orchestration engine will integrate with Kaleyra’s core components—channels, Kaleyra TX Hub, and CCaaS—to automate end-to-end customer journeys

Tata Communications, a leading global communications technology company, has acquired a 51% stake in Commotion Inc., an AI-native Enterprise SaaS platform operating in the US and India. This strategic acquisition is aimed at fast-tracking AI integration across Tata Communications’ Digital Fabric offerings, particularly within its Customer Interaction Suite, including Tata Communications Kaleyra.

Commotion’s AI-powered orchestration engine will integrate with Kaleyra’s core components—channels, Kaleyra TX Hub, and CCaaS—to automate end-to-end customer journeys. This integration is designed to shift customer engagement from reactive responses to predictive and generative AI-driven interactions, enabling more intelligent and personalised experiences for both customers and employees.

Commotion operates on three key pillars: omnichannel customer experience (CX) automation for real-time and hyper-personalised engagement, ultra-low latency Voice AI solutions, and business-ready autonomous digital agents. These AI-driven agents are compliant, intelligent, and capable of operating continuously across customer-facing and internal enterprise functions. By combining Voice AI, Agentic AI Builder, and Omnichannel Journey Orchestration, Commotion allows enterprises to automate complex processes, deliver personalised engagement at scale, and transform operations through AI-powered digital support.

Lakshminarayanan, MD & CEO of Tata Communications, said the acquisition “marks a significant step in our journey to redefine customer experience in the AI era” and emphasized that integrating Commotion with Kaleyra has already generated strong customer traction. “We expect this momentum to accelerate our evolution into an AI-first organisation, making our Digital Fabric more intelligent, adaptive, and future-ready,” he added.

Murali Swaminathan, CEO of Commotion Inc., highlighted the strategic value of the partnership, stating that it combines Commotion’s innovation with Tata Communications’ global reach and expertise to unlock AI’s full potential across industries.

The acquisition will be executed as a cash-only transaction through a Stock Purchase Agreement on a fully diluted basis.
